Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the ListLogic Theatre Analytics platform ("the Platform"), operated by Daedalus Healthcare Technology Ltd ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

The Platform is a clinical theatre analytics and planning tool designed for use by NHS Trusts, healthcare organisations and their authorised personnel.

2. Definitions

  • "Authorised User" means any individual who has been granted access to the Platform by their Organisation.
  • "Organisation" means the NHS Trust, hospital or healthcare body that has entered into a licence agreement with us.
  • "Organisation Data" means all data uploaded to, generated by, or stored within the Platform by or on behalf of an Organisation.
  • "Platform" means the ListLogic web application, including all features, modules, and associated services.

3. Account and Access

3.1 Account Registration

Access to the Platform is provided through your Organisation. Your Organisation administrator is responsible for creating and managing user accounts. You must provide accurate information and keep your credentials secure.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify your Organisation administrator and us of any unauthorised use of your account.

3.3 Two-Factor Authentication

Where two-factor authentication (2FA) is enabled, you must configure and use this additional security measure as directed. We may require 2FA for certain roles or access levels.

4. Acceptable Use

You agree to use the Platform only for its intended purpose and in accordance with:

  • All applicable laws and regulations, including the Data Protection Act 2018 and UK GDPR
  • NHS information governance standards and policies
  • Your Organisation's acceptable use policies
  • Any guidance or instructions provided by us

You must not:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the Platform
  • Upload or transmit malicious code or harmful content
  • Share your login credentials with any other person
  • Use automated tools to access or scrape data from the Platform
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Platform

5. Data and Intellectual Property

5.1 Organisation Data

Your Organisation retains ownership of all Organisation Data. We process Organisation Data solely to provide and improve the Platform in accordance with our Data Processing Agreement and Privacy Policy.

5.2 Platform Intellectual Property

The Platform, including its design, software, algorithms, analytics methodologies, and documentation, is our intellectual property or that of our licensors. Nothing in these Terms grants you any rights to our intellectual property beyond the limited right to use the Platform as permitted.

5.3 Analytics and Aggregated Data

We may use anonymised and aggregated data derived from Platform usage for benchmarking, research, and product improvement purposes. Such data will not identify any individual patient, staff member, or Organisation.

6. Clinical Disclaimer

The Platform is an analytical and planning tool. It is not a medical device and does not provide clinical advice, diagnosis, or treatment recommendations. All clinical decisions remain the responsibility of qualified healthcare professionals. Analytics, metrics, and planning outputs should be used to inform — not replace — clinical and operational judgement.

7. Service Availability

We aim to provide continuous access to the Platform but do not guarantee uninterrupted availability. We may temporarily suspend access for maintenance, updates, or in response to security incidents. We will endeavour to provide reasonable notice of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided "as is" without warranties of any kind, whether express or implied
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by your Organisation in the 12 months preceding the claim
  • We are not liable for any losses arising from your failure to maintain account security

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Termination

Your access to the Platform may be terminated or suspended:

  • By your Organisation at any time by removing your account
  • By us if you breach these Terms
  • Upon expiry or termination of your Organisation's licence agreement with us

Upon termination, your right to access the Platform ceases immediately.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or to your Organisation administrator. Continued use of the Platform following notification of changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
